INFORMATION ON THE COMPANY

(February 2006)

1              Introduction

biowaterworld was established in February 2004 to capitalize upon the opportunity to acquire the rights to the Biolight Lamp, developed for advanced and innovative water treatment.

The purpose of this chapter is to provide information on the biowaterworld’s strategy and management.

2              Corporate Strategy

biowaterworld has implemented a strategy of ongoing development, testing and international distribution of its range of Aqua Biolight systems. Through the Directors experience and expertise biowaterworld is fully capable of developing and testing current and new applications for efficient water treatment utilizing its Biolight Lamp technology.

biowaterworld has already acquired all applicable intellectual property rights to the Biolight lamp technology and can capitalize on numerous installations in a range of industry fields. In time biowaterworld intends to further test and improve its current Biolight Lamp applications and develop additional applications. Under the production agreement with AWAS Ihne GmbH in Germany, biowaterworld effectively outsourced the production of its Aqua Biolight products to a knowledgeable and reliable production partner.

2.1      Aqua Biolight Systems

The core component of all Aqua Biolight systems is the microprocessor driven Biolight Unit. The construction of the intake and outtake of the unit enforces   continuous micro air injected water rotation around the light emitting Biolight bulb. The Biolight bulb emits specific natural light frequencies into the rotating water. The resulting Biolight treated water has natural oscillations, is highly energetic, has increased cohesion forces and is less conductive. Dependant on the type of application and quality of water additional filtering is required or recommended. The addition of chlorines is reduced significantly to keep energetic and clean water.

2.2      Background

With more than 30 years experience and expertise with traditional water treatment technologies and after analysing the quality of samples of so-called healing water, Mr. Heinz Ihne, owner and Managing Director of AWAS and CEO of Biowaterworld, invented and developed the Biolight system.  Over a period of 5 years numerous applications were developed and installed providing excellent results in quality of water after treatment with Biolight systems. Multiple testimonies indicate healing effects of Aqua Biolight treated water and an improved well feeling of individual users.

2.3      Biophotonics

Scientific research related to measurable effects of the Aqua Biolight System is performed by the science of Biophotonics. Biophotonics is the science of generating and harnessing light to image, detect and influence biological systems, and is generally regarded as a globally recognized and accepted emerging field of science. Prof. Fritz A Popp, one of the leading Biophotonics scientists and founder of the International Institute of Biophysics in Neuss, Germany (1996), found in multiples measurements, strongly reduced conductivity in Biolight treated water, previously only found in reverse osmosis and micro filter treated water.

Based on the results provided by Prof. Fritz A. Popp, biowaterworld believes that one important effect of the Biolight system was scientifically confirmed. The management of biowaterworld believes, that the science of Biophotonics will provide further proof and theoretical reasoning of the effects such as the healing effects of the Aqua Biolight system in the future. However, the management of biowaterworld acknowledge that such additional proof, with the exception of customer testimonies, is not available today.

2.4      Applications

Applications range from upgrading to a nutural, energetic, living and healthy extent of drinking water for a swimming pool, to the municipal and industrial water treatment. Applications include, but are not limited to:
Healthy, therapy water for wellness centres and spa’s, e.g. for swimming pools, jacuzzi’s, hot and cold water baths,
energizing of municipal and consumer potable water,
water treatment and purification for food&beverages,
municipal and industrial waste water treatment.

Depending on the type of application and quality of water additional filtering is and additional flocculants may be required to catch the sediment (Biolight reduces the conductivity significantly thereby reducing the amount of solvables) and obtain optimum results.

2.5      Biolight Systems

Aqua Biolight Systems currently available were designed for specific purposes, whereby the sizing depends on the volume of treatable water per hour. The following Biolight Systems are available:
a)    Biolight4Pool, on-line, recycling for therapy water, pools, wellness centres etc.
b)

Biolight4Basement, on-line for living, energized, healthy potable water
c)    Biolight4Kitchen, off-line for living, energized, healthy potable water
d)    Biolight4Table, off-line for living, energized, healthy potable water
e)    Biolight12 and 30 industrial, on-line

Additional systems will be developed over time upon market request.

2.6      Installed Base

The Aqua Biolight Systems currently installed and in operation include approximately 250 systems e.g. for swimming pools; in carwash centres and with the german army tankwash units, washwater is recycled without spillage; potable water is upgraded to an energetic and high level living water quality. Most systems were sold and installed by biowaterworld´s production partner AWAS.

2.7      Market Size

Independent market research indicates a global market size of the non-chemical water treatment industry of more than $7 Billion in the year 2002. Further studies indicate an annual growth rate of approximately 7%. Typically the non-chemical market is structured in Filtration & Separation (including equipments, systems and consumables), Disinfection (including UV and ozone equipment), and Other Equipment.  biowaterworld’s Aqua Biolight Systems compete with other systems designed for filtration and partially with systems designed for disinfection.

The Management believe that the market size for its products is currently more than $250 Million with an annual growth rate of more than 7%. The success of UV water treatment in the last years, demonstrates a growing demand for non-chemical water treatment systems.

As Biolight treated water has, in the opinion of the management, based on multiple testimonials, healing affects, the market for Aqua Biolight Systems may also be a share of the Health Industry Market, which is considerably larger in size.

2.8      Competition

biowaterworld competes with numerous competitors. Many of the competitors are well known are well funded and have established distribution channels. Competitors include but are not limited to:
-
          Corning Corporation
-
          Honeywell International
-
          Ionics Incorporated
-
          Kinetico Engineered Systems Incorporated
-
          Severn Trent plc
-
          Wedeco AG
-
          Zenon Environmental Incorporated

2.9      System optimization

For the purpose of optimizing results from its Biolight Systems, biowaterworld intends to carry out additional practical systems tests during the year 2007. The management expects that the testing results will allow the company to optimize the selection of additional filters and flocculants for each application. The management believes that such preparation strongly improves the overall quality of future installations for the initial market roll-out.

3              Management

The details of the executive managers an their backgrounds are as follows:
-
Heinz Ihne (CEO, aged 61, German Nationality)
Heinz Ihne has over 25 years experience in the water treatment industry from development of new treatment technologies and solutions to installation and maintenance of small and large water treatment plants. In the year 1980 Heinz founded AWAS, which he successfully manages till today. AWAS has installed more then 10.000 water treatment systems throughout many European countries. More recently Heinz applied his skills an experience to the development of the Biolight technology.
-          Steve Bakker (COO, aged 61, Netherlands Nationality)
Steve Bakker has 35 experience in water treatment systems and international engineering and operational management with companies like Vivendi, GEC and Kemira.
